License Agreement

This License Agreement ("Agreement") is entered into between LaunchSuite, the owner of LaunchSuite SaaS Kit, and you, the licensee ("Licensee"), regarding the use of the LaunchSuite SaaS Kit software (the "Product").

By downloading, accessing, or using the Product, you agree to be bound by the terms and conditions of this Agreement. If you do not agree with any part of this Agreement, do not use the Product.

1. Grant of License

1.1 Personal License

Subject to the terms and conditions of this Agreement, we grant you a non-exclusive, non-transferable, and non-sublicensable personal license to use the Product for the following purposes:

1.2 Team License

3. Ownership and Intellectual Property

The Product and all components, documentation, and materials are and shall remain the exclusive property of LaunchSuite. All intellectual property rights, including copyrights, trademarks, patents, and trade secrets, are retained by us.

This Agreement grants you a license to use the Product but does not transfer ownership or intellectual property rights to you. You acknowledge our ownership of all intellectual property contained within the Product.

4. Modifications to the Product

You may modify the Product for your personal or internal business use. Any modifications you make remain your property; however, you retain a perpetual license to use modified versions of the Product in accordance with this Agreement.

You may not distribute, sell, or sublicense any modified versions of the Product unless you have received explicit written permission from LaunchSuite.

5. Warranty Disclaimer

THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that the Product will be error-free, secure, or meet your expectations. We do not warrant that any errors or defects will be corrected or that the Product will function without interruption.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAUNCHSUITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE PRODUCT.

This includes damages for loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages. Your exclusive remedy shall be limited to the amount paid by you for the license or $50 USD if no payment was made.

7. Support and Updates

This license does not include technical support, maintenance, or updates unless explicitly stated. Updates and new versions may be released at our discretion. Your use of updated versions is governed by the terms of this Agreement or any new agreement accompanying the update.

8. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate immediately without notice if you fail to comply with any term of this Agreement.

Upon termination, you must cease all use of the Product and destroy all copies in your possession. Sections 3, 5, 6, and 9 shall survive termination of this Agreement.

9. Export Compliance

You agree to comply with all applicable export and import laws and regulations. The Product may be subject to export controls and restrictions. You shall not export or re-export the Product to any country or entity prohibited by applicable laws.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be subject to the exclusive jurisdiction of the appropriate courts.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and LaunchSuite concerning the Product and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.

12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
